Welcome to JetStream Security (the “Company,” “we,” “us,” or “our“). These Website Terms of Use (this “Agreement“) govern your access to and use of any website operated by JetStream Security, including without limitation jetstream.inc, and jetstream.security (together with all subdomains, content, and marks, collectively the “Site“).

Please read this Agreement carefully before using the Site. By accessing or using the Site, you expressly acknowledge and agree that you are entering into a legally binding agreement with JetStream Security and that you have read, understood, and agree to comply with, and be bound by, this Agreement, together with our Privacy Policy (which is incorporated herein by reference). You hereby waive any applicable rights to require an original (non-electronic) signature or delivery or retention of non-electronic records, to the extent not prohibited under applicable law. If you do not agree to be bound by this Agreement, please do not access or use the Site.

1. Modifications to This Agreement

JetStream Security reserves the right, in its sole discretion, to modify this Agreement at any time. Such modifications will become effective ten (10) days following posting of the revised Agreement on the Site. Your continued use of the Site after the effective date of any modification constitutes your acceptance of that modification. It is your responsibility to review this Agreement periodically for changes.

2. Eligibility

The Site is intended solely for individuals who are eighteen (18) years of age or older. By accessing or using the Site, you represent and warrant that you are at least eighteen (18) years old and have the legal capacity to enter into this Agreement. If you do not meet this requirement, please do not access or use the Site

3. Grant of Access

Subject to the terms and conditions of this Agreement, JetStream Security hereby grants you a personal, limited, non-exclusive, non-assignable, non-sublicensable, non-transferable, revocable right to access and use the Site solely for your own personal or internal business use, and provided that you comply fully with this Agreement. No other rights are granted. JetStream Security reserves all rights not expressly granted herein.

4. Restrictions on Use

As a condition to your right to access and use the Site, you shall not (and shall not permit or encourage any third party to) do any of the following:

(a) Copy, reproduce, or republish the Site or any part thereof including the JetStream Security Logo and Brandmark without written permission;
(b) Sell, assign, lease, lend, rent, distribute, or otherwise make available the Site or any part thereof to any third party, or use the Site in any time-sharing, outsourcing, or service bureau environment;
(c) Modify, alter, adapt, translate, decompile, disassemble, reverse engineer, decrypt, or otherwise attempt to discover the source code or non-literal aspects (such as underlying ideas, algorithms, structure, sequence, organization, or interfaces) of the Site;
(d) Remove, alter, or conceal, in whole or in part, any copyright notice, trademark notice, or other proprietary rights notice or legend on or in the Site;
(e) Circumvent, disable, or otherwise interfere with any security-related or technical features or protocols of the Site;
(f) Create a derivative work of the Site, or use the Site to develop any product or service that is the same as, substantially similar to, or competitive with, the Site or JetStream Security’s products or services;
(g) Publish, transmit, or introduce any robot, virus, malware, Trojan horse, spyware, or other malicious code intended or able to damage or disrupt the Site;
(h) Take any action that imposes or may impose (as determined by JetStream Security in its sole discretion) an unreasonable or disproportionately large load on Site infrastructure, or that otherwise interferes with or disrupts the integrity or proper working of the Site;
(i) Use the Site for any competitive intelligence purpose, including without limitation to develop or enhance products or services that compete with JetStream Security’s offerings;
(j) Use the Site in any manner that is malicious, deceptive, illegal, or fraudulent; or
(k) Use the Site to infringe, misappropriate, or violate any third party’s intellectual property rights or any applicable law or regulation.

5. User Registration

Certain content, features, or services on the Site may require you to register an account (“Registration“). When creating a Registration, you must provide accurate, current, and complete information and maintain such information in an up-to-date manner. You agree not to create a Registration on behalf of another person without their express permission, not to create multiple accounts for the same person, and not to impersonate any individual, group, or organization or use a fictitious identity.

You are solely responsible for all activity that occurs under your Registration. You agree to: (a) maintain the confidentiality of your login credentials; (b) notify JetStream Security immediately of any unauthorized use of your Registration or any other breach of security at legal@jetstream.security; and (c) ensure that you properly log out of your account at the end of each session. JetStream Security shall not be liable for any loss or damage arising from your failure to comply with this Section.

6. Linking to the Site

JetStream Security permits third parties to link to the Site, provided that any such link: (i) links to the Site without replicating its content; (ii) accurately describes the linked content; (iii) does not misrepresent your relationship with JetStream Security or imply any sponsorship, endorsement, or affiliation not previously approved in writing by JetStream Security; (iv) originates from a website that does not contain content that is offensive, unlawful, or that infringes any intellectual property right; and (v) complies with this Agreement and all applicable law.

JetStream Security reserves the right to revoke permission to link to the Site at any time for any reason. Upon written notice from JetStream Security, you agree to immediately remove any link to the Site. No use of JetStream Security’s name, logo, or other trademarks is permitted for linking purposes absent a separate written trademark license agreement.

7. Intellectual Property Rights

7.1 Ownership of Site Content and Marks

The content and information on the Site — including without limitation text, documents, articles, descriptions, software, graphics, photographs, sounds, videos, interactive features, and services (collectively, “Materials“), and all trademarks, service marks, trade names, service names, trade dress, symbols, brands, and logos (collectively, “Marks“) — are the property of JetStream Security and/or its licensors and are protected by applicable intellectual property laws. “JetStream Security,” the JetStream Security logo, and all related marks are trademarks of JetStream Security or its affiliates. All other marks on the Site belong to their respective owners.

7.2 Limited License to Use Content

Content on the Site is made available to you for informational and personal use only. You may not use, modify, copy, distribute, transmit, display, sell, license, or otherwise exploit any Content for any other purpose without the prior written consent of JetStream Security. If you download or print Content, you must retain all copyright and proprietary notices. To request permission to use Content beyond these terms, contact us at legal@jetstream.security.

7.3 Definition of Intellectual Property Rights

“Intellectual Property Rights” means any and all rights, titles, and interests (under any jurisdiction or treaty, whether protectable or not, and whether registered or unregistered) in and to technology and other intellectual property, including without limitation patents, copyrights, moral rights, mask work rights, trade secrets, design rights, industrial property rights, trademarks, trade names, trade dress, and all applications, registrations, renewals, extensions, continuations, and divisions thereof, together with all associated goodwill.

8. User Submissions

8.1 Responsibility

The Site may permit you and other users to submit content and information (such as comments, feedback, or inquiries) (“User Submissions“). JetStream Security does not guarantee confidentiality with respect to any User Submission. You are solely responsible for your User Submissions and any consequences arising therefrom.

8.2 Ownership and License

All User Submissions and all Intellectual Property Rights therein are and shall remain the exclusive property of JetStream Security. You hereby irrevocably assign to JetStream Security all right, title, and interest in and to all User Submissions, and you waive all moral rights and similar rights you may have therein. JetStream Security shall be free to use, reproduce, modify, distribute, and display User Submissions for any purpose, without restriction or compensation to you.

8.3 Prohibited Submissions

You agree that you will not submit, upload, or transmit any User Submission that: (i) is subject to third-party proprietary rights (including privacy or publicity rights) unless you are the lawful owner of those rights; (ii) is false, misleading, defamatory, obscene, or offensive; or (iii) is malicious, fraudulent, or otherwise unlawful.

9. Cookies and Tracking Technologies

JetStream Security uses cookies and similar tracking technologies to enhance your experience on the Site and to retrieve user preferences. By accessing and using the Site, you consent to the use of cookies in accordance with our Privacy Policy, available at jetstream.security/privacy-policy (or the applicable privacy policy page on your accessed domain). You may configure your browser settings to refuse cookies, but doing so may limit your ability to use certain features of the Site.

10. Third-Party Content and Links

The Site may display or link to content, information, products, or services from third parties (“Third-Party Content“). JetStream Security does not control, endorse, sponsor, or assume responsibility for any Third-Party Content, and the display of Third-Party Content on the Site does not constitute any affiliation between JetStream Security and any such third party. You access and use Third-Party Content entirely at your own risk. JetStream Security strongly encourages you to review the applicable terms of use and privacy policies of any third parties with whom you interact.

11. Accuracy of Information

JetStream Security endeavors to provide accurate and up-to-date information on the Site; however, JetStream Security makes no representations or warranties regarding the accuracy, completeness, reliability, timeliness, or fitness of any Content on the Site. JetStream Security reserves the right to modify, update, or remove any Content at any time in its sole discretion, without prior notice. Your reliance on any Content is solely at your own risk.

12. Privacy

JetStream Security will collect, use, and store any personal information you provide in connection with your use of the Site in accordance with the JetStream Security Privacy Policy. You agree that JetStream Security may use personal information you provide in accordance with the Privacy Policy. 13. Warranty Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE (INCLUDING ALL CONTENT, MATERIALS, AND MARKS) IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS, AND WITHOUT ANY REPRESENTATION, WARRANTY, GUARANTEE, OR CONDITION OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, TITLE, QUIET POSSESSION, QUALITY OF SERVICE, OR NON-INFRINGEMENT, ALL OF WHICH ARE HEREBY EXPRESSLY DISCLAIMED BY JETSTREAM SECURITY AND ITS LICENSORS AND SUPPLIERS.

JETSTREAM SECURITY DOES NOT WARRANT THAT: (A) THE SITE WILL BE ACCURATE, COMPLETE, RELIABLE, CURRENT, OR ERROR-FREE; (B) YOUR USE OF, OR RELIANCE UPON, THE SITE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (C) THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; (D) DEFECTS IN THE SITE WILL BE CORRECTED; OR (E) THE SITE SATISFIES OR COMPLIES WITH ANY GOVERNMENT REGULATION OR INDUSTRY STANDARD.

JETSTREAM SECURITY WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY CONSEQUENCES RESULTING FROM TECHNICAL PROBLEMS OF THE INTERNET, SLOW CONNECTIONS, TRAFFIC CONGESTION, OR OVERLOAD OF JETSTREAM SECURITY’S OR THIRD-PARTY SERVERS.

Applicable law in certain jurisdictions may not allow the exclusion of certain warranties; in such cases, the above exclusions shall apply to the maximum extent permitted by law

14. Limitation of Liability

IN NO EVENT SHALL JETSTREAM SECURITY OR ANY OF ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, LICENSORS, OR SUPPLIERS BE LIABLE UNDER, OR OTHERWISE IN CONNECTION WITH, THIS AGREEMENT FOR:

ANY CONSEQUENTIAL, INDIRECT, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES;
ANY LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF REVENUE, OR LOSS OF ANTICIPATED SAVINGS;
ANY LOSS OF, OR DAMAGE TO, DATA, REPUTATION, OR GOODWILL; OR
THE COST OF PROCURING SUBSTITUTE GOODS OR SERVICES.

THE TOTAL AND AGGREGATE LIABILITY OF JETSTREAM SECURITY UNDER, OR OTHERWISE IN CONNECTION WITH, THIS AGREEMENT SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100.00).

THE FOREGOING EXCLUSIONS AND LIMITATIONS SHALL APPLY: (A) TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW; (B) EVEN IF JETSTREAM SECURITY HAS BEEN ADVISED OF OR SHOULD HAVE BEEN AWARE OF THE POSSIBILITY OF SUCH LOSSES OR DAMAGES; (C) EVEN IF ANY REMEDY IN THIS AGREEMENT FAILS OF ITS ESSENTIAL PURPOSE; AND (D) REGARDLESS OF THE THEORY OR BASIS OF LIABILITY, INCLUDING WITHOUT LIMITATION NEGLIGENCE, MISREPRESENTATION, STRICT LIABILITY, OR BREACH OF CONTRACT.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages; in such jurisdictions, the above limitations shall apply to the maximum extent permitted by law. Nothing in this Agreement shall be deemed to exclude or limit liability for death or personal injury resulting from gross negligence, or for fraud or fraudulent misrepresentation.

15. Indemnification

You agree to defend, indemnify, and hold harmless JetStream Security and its affiliates, and each of their respective officers, directors, employees, agents, licensors, and suppliers, from and against any and all claims, actions, demands, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (i) your access to or use of, or inability to use, the Site; (ii) your User Submissions; (iii) your violation of any term of this Agreement; or (iv) your violation of any rights of any third party, including any intellectual property rights or privacy rights. JetStream Security reserves the right, at its own expense, to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with JetStream Security’s defense.

16. Term and Termination

This Agreement commences on the date you first access or use the Site (the “Effective Date“) and shall continue in full force and effect unless and until terminated in accordance with this Section.

JetStream Security reserves the right, in its sole discretion, to immediately terminate this Agreement, or to modify, suspend, or discontinue your access to and use of the Site (or any part thereof), for any reason whatsoever, at any time, and without notice or obligation to you. JetStream Security shall have no liability to you or any third party for any such termination, modification, suspension, or discontinuance.

You may terminate this Agreement at any time by ceasing all use of the Site. If you object to any term of this Agreement or any modification thereof, your sole remedy is to terminate this Agreement and discontinue use of the Site.

17. Effect of Termination; Surviving Provisions

Upon termination of this Agreement, your right to access and use the Site shall automatically and immediately terminate. Sections 7 (Intellectual Property Rights) through 23 (Entire Agreement) shall survive any termination of this Agreement. Termination shall not affect any rights or obligations that accrued prior to the effective date of termination,

18. Independent Contractors

You and JetStream Security are independent contractors. Nothing in this Agreement creates or shall be construed to create a partnership, joint venture, agency, franchise, or employment relationship between the parties. You are not authorized to make any representations, warranties, commitments, or obligations on behalf of JetStream Security.

19. Assignment

JetStream Security may assign this Agreement, or any of its rights or obligations hereunder, without your consent and without notice or obligation to you, including in connection with any merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets. This Agreement is personal to you, and you shall not assign or otherwise transfer this Agreement, or any of your rights or obligations hereunder, without JetStream Security’s prior express written consent. Any purported assignment in violation of this Section shall be null and void.

20. Governing Law and Jurisdiction

This Agreement shall be governed by, and construed in accordance with, the laws of the State of Delaware, United States, without regard to its conflicts of law rules or principles. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act shall not apply to this Agreement and are hereby expressly disclaimed. Any dispute, action, or proceeding arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware, and you hereby irrevocably consent to the personal jurisdiction of such courts.

21. Severability

If any provision of this Agreement is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, then: (a) the remaining provisions of this Agreement shall remain in full force and effect; and (b) such affected provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving, to the greatest extent possible, the original legal intent and economic effect of such provision.

22. Waiver

No failure or delay by JetStream Security in exercising any right or remedy under this Agreement shall operate as a waiver thereof, nor shall any single or partial exercise of any right or remedy preclude any other or further exercise thereof or the exercise of any other right or remedy. Any waiver by JetStream Security must be in writing and duly signed by an authorized representative of JetStream Security to be valid and binding.

23. Entire Agreement

This Agreement, together with the Privacy Policy incorporated herein by reference, constitutes the entire agreement between JetStream Security and you with respect to your use of the Site and supersedes all prior and contemporaneous oral and written agreements, understandings, representations, and statements between the parties relating to the subject matter hereof. You acknowledge that, in entering into this Agreement, you have not relied on any statement or representation not expressly set out in this Agreement.
